1. Services


Xidar Technologies Limited ("Xidar") provides managed IT services, technical support, and related consultancy on a time-and-materials or contracted retainer basis, as agreed with each client. Services are delivered on-site and/or remotely as specified in the applicable engagement, quote, or service agreement.


2. Timesheets and Billing


Work performed is logged and billed based on recorded timesheets tied to service tickets or job sheets. Invoices reflect actual hours worked during the billing period and may include a supporting timesheet annex for the client's reference. Rates are as quoted or as set out in the client's service agreement.


3. Payment Terms


Payment is due as stated on the invoice, or as otherwise agreed in writing between Xidar and the client. Late payment may result in suspension of services until the account is brought current. Xidar reserves the right to apply a late payment charge on overdue balances; applicable rates will be communicated separately and are not currently in effect under these terms.


4. Third-Party Services


Xidar resells and administers certain third-party products and services on behalf of clients, including but not limited to Microsoft 365, Adobe, and managed backup solutions. These products are subject to the licensing terms, service levels, and acceptable use policies of their respective providers. Xidar acts as a reseller/administrator for these services and is not responsible for outages, changes, or discontinuation of features by the third-party provider. Pricing for resold services may be adjusted by Xidar to reflect changes in provider costs, with reasonable notice to the client where practical.


5. Client Responsibilities


Clients are responsible for providing timely access to systems, accurate account/contact details, and any authorizations required for Xidar to perform the agreed services.


6. Limitation of Liability


Xidar will perform services with reasonable skill and care. Except as required by law, Xidar's liability for any claim arising from its services is limited to the value of fees paid for the specific service giving rise to the claim. Xidar is not liable for indirect, consequential, or incidental damages, including loss of data, revenue, or business interruption, except where caused by Xidar's gross negligence or willful misconduct.


7. Confidentiality


Xidar will treat client systems, data, and business information as confidential and will not disclose such information to third parties except as required to perform the agreed services or as required by law.


8. Termination


Either party may terminate an ongoing engagement with written notice as specified in the applicable service agreement. Outstanding invoices remain payable upon termination.


9. Governing Law


These terms are governed by the laws of the Republic of Trinidad and Tobago.


10. Changes to These Terms


Xidar may update these terms from time to time. The version in effect at the time services are rendered will apply.
